Monthly Subscription Terms and Conditions

This section covers how monthly subscriptions work when you buy one from PAR through PARiConnect or another PAR sales channel. These rules work alongside PAR's main Terms of Service and any other order paperwork, like an order form or checkout page. Think of them as an add-on to those broader documents rather than a replacement. If a capitalized term shows up here without an explanation, its definition can be found in the main Terms of Service. 

1. Subscription Offering

1.1 Subscription Product. The specific assessment, report-writing service, digital content, number of uses, reports, administrations, features, or other benefits included in the Subscription (the “Subscription Benefits”) will be identified in the Order Documentation. Subscription Benefits are limited to the product and quantity expressly stated at checkout or on the applicable Order Form.

1.2 PAR Business Model. PARiConnect generally permits customers to purchase administrations and reports as needed. For selected PAR products, PAR may also offer recurring Subscriptions that provide a stated quantity of Subscription Benefits during each monthly billing period. Unless the Order Documentation expressly states otherwise, a Subscription does not provide unlimited use and does not include products, tests, reports, administrations, features, or services outside the selected Subscription.

1.3 Qualified Use. Access to restricted assessments and related services remains subject to PAR’s qualification requirements, professional standards, and the applicable PARiConnect Terms. Customer is responsible for ensuring that only authorized and appropriately qualified Registered Users use the Subscription Benefits.

1.4 Account Requirement. Customer must maintain an active PAR account in good standing and provide complete and accurate account, billing, qualification, and contact information. Subscription access may not be transferred, resold, sublicensed, shared outside Customer’s authorized account, or used for any unauthorized purpose.

2. Enrollment and Consent

2.1 Acceptance. By selecting a Subscription, clicking an acceptance button, submitting an Order Form, or otherwise completing the enrollment process, Customer authorizes PAR and its payment processor to charge the selected payment method as described in the Order Documentation and these Subscription Terms.

2.2 Checkout Disclosures. Before Customer completes enrollment, the Order Documentation will identify, as applicable: (a) the Subscription product; (b) the amount due at enrollment; (c) the recurring price and billing frequency; (d) the date or method for determining the next charge; (e) the Subscription Benefits included in each billing period; (f) any material usage or expiration rules; and (g) how to cancel the Subscription.

2.3 Order Confirmation. PAR will provide an electronic confirmation to the account or billing email address after enrollment. The confirmation will include or link to the applicable Subscription details and these Subscription Terms. Customer is responsible for maintaining a current email address and reviewing Subscription notices.

3. Monthly Term and Automatic Renewal

3.1 Initial Monthly Term. The Subscription begins on the date stated in the Order Documentation or, if no date is stated, when PAR confirms the Subscription and successfully processes the initial payment (the “Start Date”). The initial term continues for one monthly billing period.

3.2 Automatic Renewal. UNLESS CUSTOMER CANCELS BEFORE THE APPLICABLE RENEWAL DEADLINE, THE SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR SUCCESSIVE ONE-MONTH PERIODS, AND PAR WILL CHARGE THE THEN-CURRENT SUBSCRIPTION PRICE, PLUS APPLICABLE TAXES, TO CUSTOMER’S PAYMENT METHOD.

3.3 Billing Date. Recurring charges will ordinarily occur on or about the same calendar day each month as the Start Date. If a month does not contain that date, or if processing is delayed by weekends, holidays, payment review, or technical issues, PAR may process the charge on another commercially reasonable date without changing the monthly nature of the Subscription.

4. Fees, Taxes, and Payment

4.1 Fees. Customer will pay the price displayed at enrollment or stated in the Order Documentation. Subscription fees are charged in advance for each monthly billing period unless the Order Documentation states otherwise.

4.2 Payment Authorization. Customer authorizes PAR and its payment processor to store or tokenize the payment credentials supplied by Customer and to charge all amounts due under the Subscription, including recurring fees, taxes, and other disclosed charges. PAR does not require Customer to create separate future monthly orders for recurring charges.

4.3 Taxes. Prices exclude sales, use, value-added, and similar taxes unless expressly stated otherwise. Customer is responsible for applicable taxes, except taxes based on PAR’s net income. If Customer claims tax-exempt status, Customer must provide valid documentation acceptable to PAR before the applicable charge.

4.4 Receipts. PAR will provide an electronic receipt or transaction confirmation after each successful recurring charge.

4.5 Price Changes. PAR may change the Subscription price on a prospective basis. PAR will provide advance notice of a price increase as required by applicable law or the Order Documentation. The new price will apply no earlier than the next renewal following the effective date stated in the notice. Customer may cancel before the new price takes effect.

5. Subscription Benefits and Access

5.1 Availability. PAR will make the Subscription Benefits available after successful payment and satisfaction of applicable account and qualification requirements. Use remains subject to the Master Terms, applicable Supplemental Product Terms, Documentation, and professional requirements.

5.2 Monthly Allocation. The quantity of Subscription Benefits made available during each billing period will be stated in the Order Documentation.

5.3 Additional Purchases. Use beyond the included Subscription Benefits may require a separate purchase at the then-current price. A Subscription does not alter prices for products or services not included in the Subscription.

5.4 Product Separation. If Customer purchases a Subscription together with a separate one-time product, fixed-duration product, administration, report, or other service, each component will be billed and administered according to its own terms. Cancellation of the Subscription does not cancel or refund a separate purchase unless PAR expressly states otherwise.

5.5 Changes to Features. PAR may update, improve, replace, or discontinue features in accordance with the Master Terms. Any material change to the core Subscription Benefits will be addressed through the notices or remedies required by the Order Documentation or applicable law.

6. Failed Payments

6.1 Payment Failure. If PAR cannot process a charge, PAR may notify Customer, request an updated payment method, and temporarily suspend access to some or all unused Subscription Benefits until payment is successfully completed.

6.2 Retry Authorization. Customer authorizes PAR and its payment processor to retry a failed charge using the payment method on file or another payment method Customer provides.

6.3 Cancellation for Nonpayment. If payment remains unsuccessful after PAR’s retry process, PAR may cancel the Subscription and terminate access to unused Subscription Benefits. Cancellation does not eliminate Customer’s obligation to pay amounts already due.

6.4 Restoration. If Customer later updates its payment information, PAR may require Customer to begin a new Subscription at the then-current price. PAR is not required to restore expired or previously unused Subscription Benefits unless the Order Documentation states otherwise.

7. Cancellation

7.1 How to Cancel. Customer may cancel through this form, by contacting cs@parinc.com, or by another method identified in the Order Documentation. PAR will provide confirmation of cancellation to the account email address.

7.2 Cancellation Deadline. To avoid the next recurring charge, Customer must complete cancellation before the renewal charge is processed.

7.3 Effect of Cancellation. Unless the Order Documentation or applicable law states otherwise, cancellation stops future renewals. Customer will retain access to Subscription Benefits through the end of the current paid billing period, subject to the Master Terms and any stated usage or expiration rules. No further recurring charge will be made after cancellation becomes effective.

7.4 No Cancellation of Completed Charges. Cancellation is prospective and does not automatically reverse a charge already processed. Any refund request will be evaluated under Section 8.

8. Refunds and Credits

8.1 General Rule. Except as required by applicable law or expressly stated in the Order Documentation, Subscription fees are nonrefundable after they are charged, and PAR does not provide prorated refunds or credits for partial months, unused Subscription Benefits, account inactivity, or a Customer’s decision not to use the Subscription.

8.2 Approved Refunds. If PAR approves or is required to provide a refund, PAR may terminate access to unused Subscription Benefits associated with the refunded charge. Refund processing times depend on the payment method and financial institution.

8.3 Service Credits. Any credit issued by PAR is promotional or account-specific, has no cash value, may be subject to an expiration date, and may be limited to purchases through the account to which it was issued, unless PAR states otherwise in writing.

9. Suspension and Termination

9.1 Suspension. PAR may suspend Subscription access for nonpayment, suspected fraud, compromised credentials, qualification concerns, security risk, misuse, or violation of the Agreement. Where reasonably practicable, PAR will provide notice and an opportunity to cure, except when immediate action is appropriate to protect PAR, customers, examinees, data, intellectual property, or the Services.

9.2 Termination by PAR. PAR may terminate a Subscription as permitted by the Master Terms. If PAR terminates solely because PAR permanently discontinues the Subscription and Customer is not in breach, PAR will provide any refund or alternative access expressly stated in the notice or required by applicable law.

9.3 Effect. Upon expiration or termination, Customer must stop using Subscription Benefits for which access has ended. Provisions that by their nature should survive will survive, including payment obligations, restrictions, intellectual property protections, disclaimers, limitations of liability, and dispute terms in the Master Terms.

10. Privacy and Data

10.1 Privacy. PAR will process personal information in accordance with its then-current privacy policies and, where applicable, the parties’ Data Processing Agreement or Business Associate Agreement. Customer remains responsible for providing required notices and obtaining required permissions, authorizations, and consents for its use of the Services.

10.2 Payment Information. Payment information may be processed by PAR’s third-party payment processor. Customer’s use of a third-party payment method may also be subject to that provider’s terms and privacy practices.

10.3 Clinical and Assessment Data. The Subscription does not change the allocation of responsibilities for Customer Data, protected health information, assessment content, scoring, reports, or professional decision-making stated in the Master Terms and applicable Supplemental Product Terms.

11. Electronic Communications

11.1 Consent to Electronic Notices. Customer agrees that PAR may provide Subscription confirmations, receipts, payment-failure notices, renewal or price notices, cancellation confirmations, and other legally required communications electronically to the email address associated with the account or through the Services.

11.2 Contact Information. Customer must keep its contact and billing information current. A notice is not ineffective solely because Customer did not review it or failed to update its information, except where applicable law provides otherwise.

12. Relationship to Other Terms

12.1 Incorporated Terms. The Master Terms, applicable Supplemental Product Terms, Order Documentation, EULA, Privacy Policies, DPA, and BAA, as applicable, remain in effect. These Subscription Terms do not expand Customer’s license or access rights beyond the Subscription Benefits purchased.

12.2 Order of Precedence. If documents conflict, the following order applies solely to the subject matter of the conflict: (a) a signed Order Form that expressly overrides these Subscription Terms; (b) these Subscription Terms; (c) applicable Supplemental Product Terms; and (d) the Master Terms. The DPA or BAA will control with respect to personal information or protected health information to the extent stated in those documents.

12.3 Changes. PAR may revise these Subscription Terms in accordance with the Master Terms and applicable law. If a change materially affects automatic renewal, billing, cancellation, or access, PAR will provide any notice and obtain any consent required by applicable law.

13.1 Questions. Questions about a Subscription, payment, cancellation, or refund may be directed to cs@parinc.com, 1.800.331.8378, or by using this form.

13.2 Records. Customer should retain its order confirmation, receipts, cancellation confirmation, and the version of these Subscription Terms accepted at enrollment.

If there's ever a conflict between these subscription rules and the other terms, these rules take priority, but only when it comes to billing, renewal, cancellation, or access to the subscription—for everything else, the main Terms of Service still apply.
